Terms of Purchase

1. General

1.1. The following constitutes an agreement between you and FIT-BioCeuticals Pty Limited (“BioCeuticals”, “we” or “us”) in relation to the sale of BioCeuticals, BioCeuticals Clinical and Blackmores Professional products (collectively, “Products”) via bioceuticals.com.au (the “Site”).

1.2. These Terms of Purchase should be read in conjunction with the Terms of Service and the Privacy Policy, each as updated from time to time. Links to each of these terms can be found on the Site.

1.3. The BioCeuticals Range – Sale & Supply Policy and/or the BioCeuticals Clinical Range – Sale & Supply Policy may also apply to you, for example if you are a Qualified Healthcare Professional. Links to each of these can also be found on the Site. The terms and policies referred to in Sections 1.2 and 1.3 are collectively known as the “BioCeuticals Policies” for the purposes of these Terms of Purchase.

1.4. By accessing and using this Site, you represent that you have read, understand and agree to be bound by these Terms of Purchase and all applicable BioCeuticals Policies.

2. Changes to the BioCeuticals Policies

We may change these terms, or the terms of any other applicable BioCeuticals Policy,  at any time, as reasonably required. If we make any substantive changes which we believe may negatively impact you, we will let you know either by posting a notice on the Site or by emailing you. If you disagree with the changes, you may discontinue your relationship with us. Your ongoing purchase of Products after the changes take effect signifies your agreement to the new terms. We encourage you to review the applicable BioCeuticals Policies regularly, including before each purchase is made.

3. Ordering Goods

3.1. Any order placed by you in the manner described on this Site is an offer by you to purchase a particular product at the advertised price (including delivery costs and other charges) specified on this Site at the time you place your order. Orders are only accepted online and while stock lasts. You acknowledge that, by placing your order, you are agreeing to pay for and accept delivery of the goods ordered.

3.2. When you place an order, you agree that you are subject to the BioCeuticals Policies current as at the date you place the Order. It is your responsibility to review the current BioCeuticals Policies each time you place an order.

3.3. BioCeuticals may change the prices published on this Site at any time. Prices of products placed in the 'shopping cart' but not paid for are also subject to change and you agree to pay the price current at the time of payment.

3.4. Product availability may vary between Australian retail stores and the Site due to different retailer offers. For deliveries within Australia, all prices are inclusive of the Australian Government's Goods and Services Tax (GST), currently set at 10% of the price of all products, but subject to change. For deliveries to destinations outside of Australia, GST is removed.

3.5. While every effort has been made to ensure the accuracy of prices and information displayed on the Site and related website pages, we reserve the right to accept or reject your payment offer for any reason, including without limitation, the unavailability of any product, an error in the price or the product description posted on the Site, or an error in your order, or if we reasonably believe you have not complied with these Terms of Purchase or the BioCeuticals Policies.

3.6. We may require additional verification or information before accepting any order. The type of verification required will be reasonably determined by us according to the circumstances.

3.7. We reserve the right to limit sales, including the right to prohibit sales to re-sellers.

4. Payment Terms

4.1. You may pay for Products directly on the Site at the time of purchase by credit card, debit card or PayPal at the time of purchase. Any third party processing fees or surcharges may also be charged to you in respect of payments made by credit card.

4.2. Alternatively, certain Qualified Healthcare Professionals or approved retailers with a nominated Qualified Healthcare Professional (“Retailers”) may apply for a credit account with us, with 30-day payment terms. This is subject to credit checks and other related approvals. You can apply for a credit account at the time of account registration.

4.3. For Retailers or Qualified Healthcare Professionals with a credit account, the price applicable to your order is the price recorded on the invoice pertaining to that order. Formal quotes prior to order are valid for 30 days from the date of quote. Payment of invoices is due on the final business day of the following calendar month from the date of the invoice. Interest at the rate of 2% per calendar month, calculated daily on the outstanding balance, will be payable to us on any amounts owed and not paid by the due date. Payment of our Invoices and accounts can be made by any of the following methods:

Credit card by phone: We only accept Mastercard or Visa. Any third party processing fees or surcharges may also be charged to you in respect of payments made by credit card.

By Direct Deposit: When making any direct deposit into our account, you must include the “Statement Reference” shown on your invoice as a reference. We will not be responsible for any failure to or delay in correctly allocating your payment as a result of the incorrect reference.

4.5 If you do not make payment for any Products you order by the due date for payment we are entitled to require you to return the Products to us at your expense, and/or take recovery action for the price of the Products in which case title to the Products shall pass to you only once we have received full payment, in cleared funds. You agree that we are entitled to register our interest in any Products delivered for which payment in full, cleared funds has not been received. You agree to indemnify us for any costs incurred by us in enforcing our interest.

5. Delivery

5.1. Each purchase will be dispatched as a separate order and cannot be combined. We will endeavour to process orders received by 10:00am AEST on a business day on the same day, and dispatch the order on the following business day. Orders received after 10:00am AEST may not be processed until the following business day. Notwithstanding the foregoing, cold storage product orders can only be dispatched on a Monday or Tuesday (and a Wednesday for metropolitan NSW delivery addresses).

5.2. Whenever possible, orders delivered to Sydney, Melbourne and Brisbane will usually be delivered within 5 days of ordering, orders delivered to Adelaide, Hobart, Perth and all regional areas will usually be delivered within 7 days of ordering. BioCeuticals cannot guarantee delivery times, including due to reasons beyond our control. All deliveries are made Monday - Friday via Australia Post. You have the option to authorise Australia Post to leave your package at the delivery address by ticking the ‘authority to leave’ box during checkout. There are no weekend deliveries.

5.3. For purchases over AU$200.00 (ex. GST) standard delivery is currently free in Australia. For purchases under AU$200.00 (ex. GST), a flat delivery fee of AU$13.00 currently applies for standard delivery. Any additional delivery charges incurred for special delivery requests or arrangements may be passed onto you.

5.4. We will take all necessary measures in transportation to ensure that Products are couriered in appropriate conditions. All Products are boxed using protective cushioning for safe arrival. Cold storage products are couriered in refrigerated conditions.

6. Credits and Returned Items

6.1. We do not accept returns for simply changing your mind after purchase, unless we otherwise specify, such as where you cancel your order before we dispatch the goods, and we send you confirmation of the cancellation via email.

6.2. Despite the above, nothing in these Terms of Purchase alters any rights you may have under the Australia Consumer Law. Please ensure you retain proof of purchase of purchasing products from our Site and the Products in question if you are looking at returning your Products.

6.3. You will be liable to pay us in full, cleared funds for any Products we deliver to you unless the Products were damaged or otherwise unfit for supply upon delivery and you notify us within seven (7) days of receipt of the Product(s); or if we have otherwise expressly agreed to issue you a credit.

6.4. To request a credit or a refund, please phone 1300 650 455 Mon ‐ Fri (AEST / AEDT) 8:00am ‐ 6:00pm or email [email protected] and ensure you include your invoice number, product, batch number(s), quantity and reason for return. We may arrange for a courier pickup of the Products to be returned at our discretion. We reserve the right to charge a freight fee if arranging for pick-up of Products that do not fall within these terms.

7. Students program

7.1. Undergraduate students who are in their final year of training to become a Qualified Healthcare Professional may purchase Products for personal use, capped at a maximum of AUD $2,000 (ex. GST) for that year.

7.2. Once a student graduates, they are required to apply for a full Qualified Healthcare Professional account in accordance with the BioCeuticals Policies, providing BioCeuticals with a certificate of graduation and current association membership details.

8. Patients of Qualified Healthcare Professionals

8.1. Patients of Qualified Healthcare Professionals must only register for an account on the Site to purchase BioCeuticals products on the recommendation and oversight from a treating Qualified Healthcare Professional. You can find the most current version of the list of acceptable Qualified Healthcare Professionals here.

8.2. By creating an account, you agree that you will only purchase BioCeuticals products which have been recommended to you by your Qualified Healthcare Professional. If you have any questions about the products recommended, please discuss this with your Qualified Healthcare Professional.

8.3. Before you order and purchase Products, you must register for a Patient Account on the Site, and provide the referral code provided to you by your Qualified Healthcare Professional during the registration process.

8.4. Products are for personal use only and you must not resell any products to any other person.

9. Title and Risk / Property and Ownership

Risk in Products you order passes to you once the Products are delivered to you or your nominated recipient. Legal title to all Products remains with us until you pay for the Products in full, or (in the case of Qualified Healthcare Professionals or Retailers) sell the Products in the ordinary course of business (in which case we shall have a lien over the proceeds of sale until they are delivered). Until legal title passes to you, you agree to store all Products according to the product information provided.

10. Termination

Your ability to purchase Products from this Site may be terminated by BioCeuticals at any time without notice. All restrictions, licenses granted by you and limitations of BioCeuticals’ liability will survive termination.
